These Terms and Conditions govern your access to and use of brightlinescientific.com, any account or portal made available through the website, and any purchase of products or services from Brightline Scientific. Brightline Scientific is a registered trade name of Cross & Compass Ventures, LLC. By accessing the website, requesting access, creating an account, submitting an order, or purchasing any product, you agree to these Terms and Conditions and all policies incorporated by reference.

1. Eligibility and Controlled Access

You must be at least 21 years old, legally capable of entering into a binding agreement, and legally permitted to receive Research Materials in your jurisdiction to access the approved portal or purchase products.

Access to substantive website content is restricted. Visitors must complete an age attestation before entering. Product information, pricing, COA documentation, ordering, and account features are available only to approved account holders. Legal and policy pages remain publicly accessible so they can be reviewed before an access request is submitted. Public access to those pages does not provide access to the approved portal, catalog, product information, pricing, or ordering functions.

Access Review

Access requests are reviewed individually. Brightline Scientific may request the applicant’s name, email address, organization or affiliation, professional or research context, contact information, and stated research purpose.

Requests may be declined because of incomplete or inconsistent information, indications of intended human, veterinary, or cosmetic use, indications of unauthorized resale or redistribution, jurisdictional restrictions, or any other factor bearing on compliance with these Terms and the Research Use Policy.

Submission does not guarantee approval. Approval is not a certification of the applicant’s credentials, facilities, or proposed use. Access may be suspended or revoked at any time.

You may not create an account using false, misleading, incomplete, or unauthorized information. You are responsible for maintaining the confidentiality of your account credentials and for all activity conducted through your account.

2. Research-Use Only (RUO)

Research Materials are intended only for lawful laboratory, analytical, educational, or other non-clinical research activities.

Research Materials are not intended for:

• Human consumption or administration.
• Veterinary consumption or administration.
• Diagnostic, therapeutic, prophylactic, or clinical use.
• Food, drug, cosmetic, supplement, household, or personal use.
• Treatment, prevention, mitigation, diagnosis, or cure of disease.
• Use in or on any person, patient, animal, or living subject.

Brightline Scientific does not provide dosing instructions, reconstitution instructions for administration, treatment protocols, medical advice, clinical recommendations, patient guidance, or instructions for human or veterinary use.

By purchasing or accessing any product, you represent and warrant that you understand and will comply with the Research Use Policy incorporated into these Terms.

3. Customer Representations

By placing an order, you represent and warrant that:

• You are legally permitted to purchase, possess, receive, handle, store, and use the products in your jurisdiction.
• You have sufficient knowledge, training, equipment, facilities, and safeguards to handle the products responsibly.
• Your intended use is lawful and consistent with the stated Research-Use Only (RUO) restrictions.
• You will not resell, transfer, administer, distribute, or use the products for any prohibited purpose.
• You will comply with all applicable federal, state, local, and jurisdictional laws, regulations, rules, institutional policies, and safety standards.
• You will independently evaluate product suitability, handling requirements, storage conditions, and research design.

4. Orders and Acceptance

Submitting an order does not guarantee acceptance. Brightline Scientific may refuse, limit, cancel, hold, or request additional verification for any order at its discretion.

An order is accepted only when Brightline Scientific confirms acceptance or ships the order. Product availability, documentation, lot assignment, shipping timing, and pricing remain subject to change until acceptance.

Brightline Scientific may cancel orders involving suspected fraud, prohibited use, inaccurate information, payment concerns, regulatory concerns, resale concerns, unusual order patterns, or any conduct inconsistent with these Terms.

5. Pricing and Payment

Prices are listed in U.S. dollars unless otherwise stated. Taxes, shipping, special handling, bank fees, cold-shipping fees, insurance, and other applicable charges may be added at checkout or invoiced separately.

You authorize Brightline Scientific and its payment providers to charge the payment method or account you provide. You are responsible for all fees associated with rejected, reversed, disputed, recalled, or failed payments.

Bank transfer, ACH, wire, invoice, or other non-card payment methods may be subject to separate instructions. Orders may be held until funds are verified and fully cleared.

6. Product Information and Documentation

Every released lot is tested by a third-party U.S. laboratory using Ultra-High-Performance Liquid Chromatography with Mass Spectrometry (UPLC/MS). Each released lot is connected to a Brightline Lot Number, COA record, and Laboratory Report Number that may be verified directly with the issuing laboratory.

Brightline Scientific makes reasonable efforts to present accurate product descriptions, lot information, certificates of analysis, testing documentation, images, packaging details, and specifications. Documentation may be supplied by manufacturers, suppliers, or third-party laboratories.

You are responsible for independently reviewing all product information and documentation before use. Product images are illustrative and may not reflect the exact vial, label, packaging, lot, or appearance received.

Unless expressly stated in writing, Brightline Scientific does not guarantee that any product is suitable for a particular study, method, application, instrument, environment, or result.

7. Storage, Handling, and Product Integrity

You are solely responsible for appropriate receipt, inspection, storage, handling, security, containment, recordkeeping, and disposal after delivery.

Product stability and integrity may be affected by temperature, light, humidity, contamination, handling, storage duration, transport conditions, seal integrity, or other factors outside Brightline Scientific’s control.

You must inspect the shipment promptly upon delivery and follow any product-specific storage or handling information supplied with the order or documentation.

8. Shipping and Delivery

Shipping is governed by the Shipping Policy incorporated into these Terms. Delivery dates are estimates and are not guaranteed.

Risk of loss and responsibility for the shipment transfer to the customer upon confirmed delivery to the address provided, except where applicable law requires otherwise.

Brightline Scientific is not responsible for delays, loss, theft, damage, temperature exposure, misdelivery, return-to-sender events, or delivery failure caused by carriers, incorrect addresses, inaccessible locations, severe weather, natural disasters, government action, customer unavailability, or events outside reasonable control.

9. Returns, Refunds, and Order Issues

Returns and refunds are governed by the Refund and Returns Policy incorporated into these Terms.

Because the identity, integrity, chain of custody, storage history, contamination status, and handling conditions of a Research Material cannot be verified after shipment, most products are final sale once released for shipment.

10. Prohibited Uses

You may not use the website, account, documentation, or products to:

• Facilitate human or veterinary administration, consumption, treatment, diagnosis, or clinical use.
• Seek or provide dosing, treatment, reconstitution-for-administration, injection, patient, or protocol guidance.
• Violate any law, regulation, court order, sanction, or institutional rule.
• Resell or distribute products without written authorization.
• Misrepresent product status, intended use, quality, origin, documentation, or regulatory standing.
• Reverse engineer, scrape, copy, republish, or commercially exploit website content or documentation without permission.
• Interfere with website security, access controls, accounts, payment systems, or technical infrastructure.
• Engage in fraud, chargeback abuse, identity misuse, harassment, or unauthorized access.

11. No Medical, Legal, Regulatory, or Scientific Advice

Website content, customer service communications, product descriptions, documentation, educational materials, and any other information provided by Brightline Scientific are for general informational and commercial purposes only.

Nothing provided by Brightline Scientific constitutes medical advice, veterinary advice, legal advice, regulatory advice, laboratory accreditation advice, scientific validation, or a recommendation concerning any person, patient, animal, disease, condition, treatment, protocol, or outcome.

12. Disclaimer of Warranties

To the maximum extent permitted by law, the website, accounts, content, documentation, services, and products are provided "as is" and "as available," without warranties of any kind, whether express, implied, statutory, or otherwise.

Brightline Scientific disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, title, accuracy, completeness, results, compatibility, stability, sterility, continuity, and freedom from error.

Brightline Scientific does not warrant that the website will be uninterrupted or secure, that information will be error-free, that a product will produce a particular result, or that third-party documentation will be complete or suitable for your purpose.

Some jurisdictions do not allow certain warranty exclusions. In those jurisdictions, exclusions apply only to the maximum extent permitted by law.

13. Limitation of Liability

To the maximum extent permitted by law, Brightline Scientific, Cross & Compass Ventures, LLC, and their owners, members, managers, officers, employees, contractors, consultants, affiliates, suppliers, manufacturers, laboratories, service providers, and agents shall not be liable for any indirect, incidental, special, exemplary, punitive, consequential, or enhanced damages, or for any loss of profits, revenue, business, data, goodwill, Research Materials, research time, opportunity, or expected results.

This limitation applies to claims arising from or related to:

• Access to or use of the website or account.
• Reliance on product information or documentation.
• Purchase, possession, storage, handling, transfer, resale, disposal, misuse, or use of any product.
• Failure to follow Research-Use Only (RUO) restrictions.
• Contamination, temperature exposure, product degradation, loss of integrity, or improper storage.
• Third-party laboratory results, supplier materials, carrier performance, or payment services.
• Delay, loss, theft, damage, or misdelivery.
• Human or veterinary use, whether authorized, unauthorized, intentional, accidental, foreseeable, or unforeseeable.
• Any medical, personal, bodily, economic, regulatory, professional, or research consequence.

To the maximum extent permitted by law, the total aggregate liability of Brightline Scientific and Cross & Compass Ventures, LLC for all claims relating to a product, order, or transaction shall not exceed the amount actually paid to Brightline Scientific for the specific product or order giving rise to the claim.

The limitations in this section apply regardless of the legal theory asserted, including contract, warranty, negligence, strict liability, tort, statute, misrepresentation, or otherwise, and even if a party was advised of the possibility of damages.

Nothing in these Terms excludes liability that cannot lawfully be excluded.

14. Indemnification

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Brightline Scientific, Cross & Compass Ventures, LLC, and their owners, members, managers, officers, employees, contractors, consultants, affiliates, suppliers, manufacturers, laboratories, service providers, and agents from and against any claims, demands, actions, investigations, losses, liabilities, judgments, penalties, fines, damages, costs, and expenses, including reasonable attorneys’ fees, arising from or related to:

• Your breach of these Terms or any incorporated policy.
• Your access to or use of the website, account, documentation, services, or products.
• Your purchase, possession, storage, handling, transfer, resale, disposal, misuse, or use of any product.
• Any human, veterinary, diagnostic, therapeutic, food, cosmetic, household, or other prohibited use.
• Any statement, representation, instruction, claim, or advice you provide to another person concerning a product.
• Your violation of law, regulation, institutional policy, third-party rights, or safety requirements.
• Any bodily injury, illness, death, property damage, contamination, research loss, regulatory action, or third-party claim connected with your conduct.
• Any inaccurate, incomplete, misleading, or unauthorized information supplied by you.

Brightline Scientific may assume exclusive control of the defense of any matter subject to indemnification, and you agree to cooperate fully. You may not settle any such claim without prior written consent.

15. Intellectual Property

The website, branding, logos, copy, graphics, page layouts, documentation presentation, and original content are owned by or licensed to Brightline Scientific and are protected by applicable intellectual property laws.

No content may be copied, republished, resold, distributed, modified, or commercially exploited without prior written permission, except for internal review of documentation associated with a lawful purchase.

16. Third-Party Services and Links

The website may use or link to third-party services, laboratories, payment providers, carriers, analytics tools, or websites. Brightline Scientific does not control and is not responsible for third-party content, privacy practices, availability, accuracy, performance, or conduct.

17. Suspension and Termination

Brightline Scientific may suspend or terminate access, cancel orders, or refuse future service for suspected fraud, misuse, prohibited conduct, policy violations, payment disputes, regulatory concerns, abusive communications, or any conduct that creates legal, operational, safety, reputational, or financial risk.

18. Governing Law and Venue

These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-law principles, except where federal law or another mandatory law applies.

Any dispute not subject to a separate written arbitration agreement shall be brought in a state or federal court located in Maricopa County, Arizona, and you consent to personal jurisdiction and venue there.

19. Severability and Waiver

If any provision is found unenforceable, the remaining provisions remain in effect. Failure to enforce any provision is not a waiver of that provision or any other right.

20. Changes to These Terms

Brightline Scientific may update these Terms at any time. The revised version becomes effective when posted unless another date is stated. Continued use after an update constitutes acceptance of the revised Terms.
