These Terms of Service govern your access to and use of brightlinescientific.com, any account or portal made available through the website, and any purchase of products or services from Brightline Scientific. Brightline Scientific is operated by Cross & Compass Ventures, LLC. By accessing the website, creating an account, requesting access, submitting an order, or purchasing any product, you agree to these Terms of Service and all policies incorporated by reference.
You must be at least 21 years old and legally capable of entering into a binding agreement to use this website or purchase products. Access to product information, pricing, documentation, ordering, or account features may be restricted to approved account holders.
Brightline Scientific may request information reasonably necessary to verify identity, age, business purpose, institutional affiliation, intended research use, billing information, shipping information, or account legitimacy. Approval is discretionary and may be denied, suspended, or revoked at any time.
You may not create an account using false, misleading, incomplete, or unauthorized information. You are responsible for maintaining the confidentiality of your account credentials and for all activity conducted through your account.
All products offered by Brightline Scientific are sold strictly for lawful laboratory, analytical, educational, or other non-clinical research purposes unless expressly stated otherwise in writing.
Products are not intended for human consumption, human administration, veterinary use, food use, household use, cosmetic use, diagnostic use, therapeutic use, or any use involving the treatment, prevention, mitigation, diagnosis, or cure of disease.
Brightline Scientific does not provide dosing instructions, reconstitution instructions for administration, treatment protocols, medical advice, clinical recommendations, patient guidance, or instructions for human or veterinary use.
By purchasing or accessing any product, you represent and warrant that you understand and will comply with the separate Research Use Policy incorporated into these Terms.
By placing an order, you represent and warrant that:
Submitting an order does not guarantee acceptance. Brightline Scientific may refuse, limit, cancel, hold, or request additional verification for any order at its discretion.
An order is accepted only when Brightline Scientific confirms acceptance or ships the order. Product availability, documentation, lot assignment, shipping timing, and pricing remain subject to change until acceptance.
Brightline Scientific may cancel orders involving suspected fraud, prohibited use, inaccurate information, payment concerns, regulatory concerns, export restrictions, resale concerns, unusual order patterns, or any conduct inconsistent with these Terms.
Prices are listed in U.S. dollars unless otherwise stated. Taxes, shipping, special handling, wire fees, bank fees, cold-chain fees, insurance, and other applicable charges may be added at checkout or invoiced separately.
You authorize Brightline Scientific and its payment providers to charge the payment method or account you provide. You are responsible for all fees associated with rejected, reversed, disputed, recalled, or failed payments.
Bank transfer, ACH, wire, invoice, or other non-card payment methods may be subject to separate instructions. Orders may be held until funds are verified and fully cleared.
Brightline Scientific makes reasonable efforts to present accurate product descriptions, lot information, certificates of analysis, testing documentation, images, packaging details, and specifications. However, documentation may be supplied by manufacturers, suppliers, or third-party laboratories.
You are responsible for independently reviewing all product information and documentation before use. Product images are illustrative and may not reflect the exact vial, label, packaging, lot, or appearance received.
Unless expressly stated in writing, Brightline Scientific does not guarantee that any product is suitable for a particular study, method, application, instrument, environment, or result.
You are solely responsible for appropriate receipt, inspection, storage, handling, security, containment, recordkeeping, and disposal after delivery.
Product stability and integrity may be affected by temperature, light, humidity, contamination, handling, storage duration, transport conditions, seal integrity, or other factors outside Brightline Scientific’s control.
You must inspect the shipment promptly upon delivery and follow any product-specific storage or handling information supplied with the order or documentation.
Shipping is governed by the Shipping Policy incorporated into these Terms. Delivery dates are estimates and are not guaranteed.
Risk of loss and responsibility for the shipment transfer to the customer upon confirmed delivery to the address provided, except where applicable law requires otherwise.
Brightline Scientific is not responsible for delays, loss, theft, damage, temperature exposure, misdelivery, return-to-sender events, or delivery failure caused by carriers, incorrect addresses, inaccessible locations, severe weather, natural disasters, government action, customs, customer unavailability, or events outside reasonable control.
Returns and refunds are governed by the Refund and Returns Policy incorporated into these Terms.
Because the identity, integrity, chain of custody, storage history, contamination status, and handling conditions of a research product cannot be verified after shipment, most products are final sale once released for shipment.
You may not use the website, account, documentation, or products to:

Nothing provided by Brightline Scientific constitutes medical advice, veterinary advice, legal advice, regulatory advice, laboratory accreditation advice, scientific validation, or a recommendation concerning any person, patient, animal, disease, condition, treatment, protocol, or outcome.
To the maximum extent permitted by law, the website, accounts, content, documentation, services, and products are provided “as is” and “as available,” without warranties of any kind, whether express, implied, statutory, or otherwise.
Brightline Scientific disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, title, accuracy, completeness, results, compatibility, stability, sterility, continuity, and freedom from error.
Brightline Scientific does not warrant that the website will be uninterrupted or secure, that information will be error-free, that a product will produce a particular result, or that third-party documentation will be complete or suitable for your purpose.

To the maximum extent permitted by law, Brightline Scientific, Cross & Compass Ventures, LLC, and their owners, members, managers, officers, employees, contractors, consultants, affiliates, suppliers, manufacturers, laboratories, service providers, and agents shall not be liable for any indirect, incidental, special, exemplary, punitive, consequential, or enhanced damages, or for any loss of profits, revenue, business, data, goodwill, research materials, research time, opportunity, or expected results.

To the maximum extent permitted by law, the total aggregate liability of Brightline Scientific and Cross & Compass Ventures, LLC for all claims relating to a product, order, or transaction shall not exceed the amount actually paid to Brightline Scientific for the specific product or order giving rise to the claim.
The limitations in this section apply regardless of the legal theory asserted, including contract, warranty, negligence, strict liability, tort, statute, misrepresentation, or otherwise, and even if a party was advised of the possibility of damages.
Nothing in these Terms excludes liability that cannot lawfully be excluded.
To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Brightline Scientific, Cross & Compass Ventures, LLC, and their owners, members, managers, officers, employees, contractors, consultants, affiliates, suppliers, manufacturers, laboratories, service providers, and agents from and against any claims, demands, actions, investigations, losses, liabilities, judgments, penalties, fines, damages, costs, and expenses, including reasonable attorneys’ fees, arising from or related to:
Brightline Scientific may assume exclusive control of the defense of any matter subject to indemnification, and you agree to cooperate fully. You may not settle any such claim without prior written consent.
The website, branding, logos, copy, graphics, page layouts, documentation presentation, and original content are owned by or licensed to Brightline Scientific and are protected by applicable intellectual property laws.
No content may be copied, republished, resold, distributed, modified, or commercially exploited without prior written permission, except for internal review of documentation associated with a lawful purchase.
The website may use or link to third-party services, laboratories, payment providers, carriers, analytics tools, or websites. Brightline Scientific does not control and is not responsible for third-party content, privacy practices, availability, accuracy, performance, or conduct.
Brightline Scientific may suspend or terminate access, cancel orders, or refuse future service for suspected fraud, misuse, prohibited conduct, policy violations, payment disputes, regulatory concerns, abusive communications, or any conduct that creates legal, operational, safety, reputational, or financial risk.
These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-law principles, except where federal law or another mandatory law applies.
Any dispute not subject to a separate written arbitration agreement shall be brought in a state or federal court located in Maricopa County, Arizona, and you consent to personal jurisdiction and venue there.
If any provision is found unenforceable, the remaining provisions remain in effect. Failure to enforce any provision is not a waiver of that provision or any other right.
Brightline Scientific may update these Terms at any time. The revised version becomes effective when posted unless another date is stated. Continued use after an update constitutes acceptance of the revised Terms.
